FIBRA Prologis Announces Upcoming Ordinary Holders’ Meeting and Incentive Fee Payment to Sponsor

MEXICO CITY, June 16, 2023 /PRNewswire/ — FIBRA Prologis (BMV: FIBRAPL14), a leading owner and operator of Class-A industrial real estate in Mexico, today announced it will host an ordinary certificate holders’ meeting Monday, July 3rd, 2023, at 11:00 a.m. Mexico time. in the office of the Common Representative, Monex Casa de Bolsa, S.A. de C.V., located at Av. Paseo de la Reforma No. 284, floor 9, Col. Juárez, C.P. 06600, México, Ciudad de México.

The agenda for the Ordinary Holders’ Meeting includes the management presentation with respect to the triggering of an incentive fee by its sponsor, Prologis, in accordance with the Management Agreement and approval of the holders to carry out the issuance of additional Certificados Bursátiles Fiduciarios Inmobilarios (“CBFIs”) to be applied as payment of the Incentive Fee in accordance with Clause 8.3 of the Management Agreement.

Should the holders not approve the issuance of the CBFIs, the incentive fee will be paid in cash as provided in the Management Agreement.  Any new CBFIs issued for the payment of the incentive fee will be subject to a lock-up period of six months.
